Terms & Conditions of Sale

These Terms & Conditions of Sale (“Terms”) govern the sale of all products and services by VIP Plastics (“VIP Plastics,” “we,” “us,” or “our”) to the purchaser (“customer,” “you,” or “your”). Your use of vipplastics.com (the “Website”) is also governed by our Terms of Use and our Privacy Policy.
1. Governing Terms
These Terms apply to every order and supersede any prior understanding. Any additional or conflicting terms contained in a purchase order or other document issued by the buyer are rejected and shall have no effect unless expressly agreed to in writing by an authorized representative of VIP Plastics. Placing an order through this Website, accepting delivery, or making payment constitutes acceptance of these Terms.
2. Quotations
Custom quotations issued through our quote process are valid for fifteen (15) days from the date issued unless otherwise stated, and are based on the specifications, dimensions, and files supplied at the time of the quote. Changes to specifications, materials, quantities, or scope may require revised pricing and lead times. Pricing displayed on the Website at checkout reflects the price in effect at the time the order is placed.
3. Orders & Production
Payment in full is required at checkout before production begins. Custom manufactured products are non-cancelable and non-refundable once production begins. For purposes of these Terms, “production begins” upon the earliest of: (a) allocation or commitment of materials to your order; (b) commencement of cutting or fabrication; or (c) any allocation of labor or shop capacity to your order.
Orders typically ship within two to five business days of payment for in-stock materials. Products are made to order, and not every color and thickness is held in stock at all times. Where an ordered item is temporarily out of stock, we will produce or source it and ship as soon as it is available, and will notify you of any material delay. Production and shipping timelines are estimates only and are not guaranteed. If you have time-sensitive requirements, contact us at quote@vipplastics.com before ordering to confirm an expected ship date.
4. Payment
We accept payment by credit or debit card at checkout. Card payments are subject to a processing fee of 2.9% or the actual processing fee charged to VIP Plastics, whichever is greater, reflected in your total at checkout. We do not accept checks and do not offer net terms. Any unpaid balance on quoted or invoiced work not paid by its due date accrues interest at 1.5% per month (18% per year), or the maximum rate permitted by applicable law, whichever is less.
If a payment is reversed or charged back, you agree to pay a $50 administrative fee plus any third-party fees we incur. All prices are exclusive of applicable sales, use, and other taxes, which are your responsibility. If you are exempt, you must provide a valid resale or exemption certificate before the order is placed.
5. Shipping & Delivery
Orders ship as parcels via a parcel carrier we partner with. Risk of loss and responsibility for safe delivery transfer to the carrier once goods leave the VIP Plastics facility. We are not responsible for carrier delays, damage, or loss occurring after goods are released to the carrier. If a shipment is undeliverable or refused, any reshipment costs are your responsibility.
6. Packaging
Orders are packaged using standard commercial packaging suitable for parcel shipment. Any special packaging requirements must be requested in writing and may incur additional cost.
7. Receiving & Damage Claims
You are responsible for inspecting all shipments upon delivery. If any item arrives damaged, photograph the damage and the packaging, and report it to us in writing at quote@vipplastics.com within two (2) business days of delivery. Retain all original packaging and contents, as they may be required for a carrier claim. Failure to report within that period constitutes acceptance of the shipment as delivered. No product may be returned without prior written authorization from VIP Plastics.
8. Specifications & Tolerances
Products are manufactured to typical commercial fabrication tolerances. Unless a tighter tolerance is expressly agreed in writing, the following apply:
- Acrylic sheet thickness: ±10% of nominal thickness.
- Sheet length and width: approximately ±1/8″.
- Saw-cut pieces: approximately ±1/16″ to ±1/8″.
Natural variations may occur in color, texture, clarity, finish, thickness, and appearance depending on material batch and manufacturing processes. Such variations are inherent to the materials and do not constitute defects. Products are manufactured to the dimensions and files supplied by the customer, and we are not responsible for errors in customer-supplied specifications, drawings, or files.
Offcut and cut-away pieces from any cutting service are not included unless specifically requested at the time of order. Products may be produced from any sheet or stock material at VIP Plastics' discretion; only the pieces specified in the order are included.
9. Customer-Supplied Designs
For custom work, you may supply drawings or files (including DXF, DWG, PDF, and image formats). You represent and warrant that you hold all rights necessary to submit any files, artwork, or specifications you provide to us. You agree to indemnify and hold VIP Plastics harmless from any claim arising out of intellectual property infringement, defects, or regulatory issues resulting from your specifications. Any feedback we provide on your files is a courtesy and does not constitute an engineering review or a warranty of suitability.
10. Use Responsibility
VIP Plastics does not provide installation services. You are solely responsible for determining the suitability of any product for your intended use, and for proper handling, mounting, installation, and compliance with all applicable building and safety codes.
11. Marketing & Portfolio Use
Unless you notify us otherwise in writing, VIP Plastics may reference non-confidential, general descriptions of completed work and may use photographs of products we have produced for marketing, portfolio, and promotional purposes.
12. Limitation of Liability
To the fullest extent permitted by law, VIP Plastics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, project delays, installation costs, reinstallation expenses, labor costs, contractor expenses, and third-party costs. To the fullest extent permitted by law, our total liability for any claim relating to a product or service shall be limited solely to replacement of the product or refund of the purchase price, at VIP Plastics' sole discretion. The remedies stated herein are the customer's exclusive remedies.
13. Affiliate Protection
The limitations, disclaimers, and protections in these Terms apply equally to VIP Plastics and to its owners, members, managers, officers, employees, agents, and affiliates, each of whom may rely on and enforce these Terms.
14. Warranty Disclaimer
EXCEPT AS EXPRESSLY STATED IN THESE TERMS & CONDITIONS, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS.” VIP PLASTICS MAKES NO WARRANTY, EXPRESS OR IMPLIED, AND EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Intellectual Property
All designs, templates, tooling, processes, manufacturing methods, and production files developed by VIP Plastics remain the exclusive intellectual property of VIP Plastics. Customer-supplied files and artwork remain the property of the customer. Nothing in these Terms transfers ownership of VIP Plastics' intellectual property to the customer.
16. Force Majeure
VIP Plastics is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including: material shortages; supplier delays; labor disruptions, strikes, or work stoppages; equipment failures; transportation interruptions; natural disasters, fire, flood, or severe weather; governmental actions, orders, or regulations; trade restrictions, tariffs, sanctions, or embargoes; epidemics, pandemics, or public health emergencies; cyber incidents, data breaches, or telecommunications failures; and acts of war, terrorism, civil unrest, or sabotage.
17. Governing Law, Venue & Disputes
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or any related transaction shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and the parties consent to the personal jurisdiction and venue of those courts. EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY. In any action to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs. Any claim arising from or relating to these Terms & Conditions or any related transaction must be brought within one (1) year after the cause of action accrues, or it is permanently barred.
18. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force and effect (severability). Our failure to enforce any provision is not a waiver of that or any other provision (waiver). You may not assign your rights or obligations under these Terms without our prior written consent; we may assign freely (assignment). Notices to VIP Plastics must be sent to quote@vipplastics.com (notices). The version of these Terms in effect at the time your order is placed governs that order, and we may amend these Terms from time to time (amendment). Headings are for convenience only and do not affect interpretation (headings).
